1. Who we are
Agon (“we,” “us,” “our”) provides self-hosted fitness studio management software (the “Software”) under a paid subscription. Agon is operated from Italy and these Terms are governed by the laws of Italy and the European Union, as described in Section 9 below. 2. The Software and self-hosting
Agon is installed and runs on your own computer or server. Your studio, client, scheduling, and membership data is stored locally on the machine where you install Agon. We do not host, store, or have access to that operational data — see our Privacy Policy for what limited data we do collect (billing and account information only). Because your data lives on hardware you control, you are responsible for backing it up, securing the device it runs on, and keeping the Software updated.
3. Free trial
New subscriptions include a 7-day free trial. A valid payment card is required to start the trial. If you do not cancel before the trial period ends, your card will be automatically charged the then-current subscription price (currently €129/month) and your subscription will continue on a recurring monthly basis until cancelled. We will not send a separate reminder before the trial converts unless required by applicable law — check your account or the Stripe billing portal (Section 5) to confirm your trial end date.
4. Subscription, billing, and price changes
Subscriptions are billed monthly in advance via our payment processor, Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel. We may change subscription pricing for future billing periods; we will give you reasonable advance notice of any price increase by email before it takes effect.
5. Cancellation and refunds
You may cancel your subscription at any time via the self-service billing portal (a Stripe-hosted page linked from your account/receipt emails and from the download success page), or by emailing hello@agon-studio.dev. Cancelling stops future renewals; it does not automatically refund the current billing period. Fees already charged are generally non-refundable, except where required by applicable consumer-protection law (for example, EU statutory withdrawal rights for consumers, subject to the exceptions that normally apply once digital service performance has begun). If you believe you are entitled to a refund, contact us and we will review the request in good faith.
6. Acceptable use
You agree not to reverse engineer, resell, sublicense, or redistribute the Software except as expressly permitted in a separate written agreement with us, and not to use the Software for any unlawful purpose. You are responsible for complying with applicable data protection law (such as GDPR) with respect to the client and studio data you store using the Software, since that data remains under your control at all times.
7. Disclaimer of warranties
The Software is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement, except to the extent such warranties cannot be excluded under applicable law.
8. Limitation of liability
To the maximum extent permitted by applicable law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, revenue, or profits, arising out of or related to your use of the Software. Nothing in these Terms limits liability that cannot be limited under applicable law.
9. Governing law
These Terms are governed by the laws of Italy, without regard to conflict-of-law principles. If you are a consumer resident in the EU, you retain any mandatory consumer-protection rights provided by the law of your country of residence. Any dispute not resolved informally will be subject to the exclusive jurisdiction of the competent courts of Italy, except where mandatory consumer law provides otherwise.
10. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified by posting an updated version on this page with a new “Last updated” date, and, where required by law, by direct notice. Continued use of the Software after changes take effect constitutes acceptance of the revised Terms.
